Walter Herz supported the client in a complex process combining debt financing with the confidential sale of a strategic development asset in Warsaw. The key objective was to coordinate both workstreams, meet the requirements of the financing institutions and the investor, and maintain strict confidentiality throughout the transaction.

The process involved multi-stage negotiations with a banking consortium, preparation of the asset for sale, and parallel due diligence reviews conducted by the strategic investor and the financing institutions. Additional challenges included stringent conditions precedent to the drawdown of financing, the need to reorganise the asset structure ahead of the transaction, and a volatile macroeconomic environment affecting the cost of capital.

Given the strategic nature of the transaction, the entire process had to be conducted under strict confidentiality to prevent information about the planned sale from reaching the market before completion.

End-to-end coordination from financing to closing

Walter Herz conducted parallel discussions with financial institutions, supporting the client in securing competitive financing terms and aligning the banks’ requirements with the transaction timetable.

To protect sensitive information, strict data-access protocols, clean-team procedures and project coding were implemented. A dedicated Virtual Data Room (VDR) with enhanced security measures was also established to facilitate the parallel due diligence processes.

Walter Herz also worked closely with legal advisers and the other parties involved, coordinating the fulfilment of successive legal, financial and transactional requirements necessary to bring the transaction to completion.
